Comprehending LLC's - Setting-up, Preparing and Dissolving
This presentation will explain ho
w a Limited Liability Company is the least complex business structure to pr
otect both your company and your own assets. A Limited Liability Company (L
LC) is a corporate structure in the United States whereby the owners are no
t personally liability for the company's debts or liabilities. Limited liab
ility companies are hybrid entities that combine the characteristics of a c
orporation with those of a partnership or sole proprietorship.We will go th
rough the process of setting up, preparing and dissolving of a Limited Liab
ility Company.Also, discuss the advantages and disadvantages of being an LL
C.

Jennifer Reardon is an associate attorney at RJS Law
. Ms. Reardon focuses her practice on estate planning and tax law. She advi
ses individuals, families, and entrepreneurs on the creation of trusts, wil
ls, advance health care directives, general durable power of attorney, and
property agreements. The primary goals of Ms. Reardon’s estate planning str
ategy are to minimize tax consequences, secure a client’s legacy, and avoid
the cost and delay of probate. Prior to becoming an attorney, Ms. Reardon
had a successful career as a CPA working in public accounting, private indu
stry, and non-profit organizations, including Fortune 500 and Forbes Global
2000 companies. Her work included various industries, such as: manufacturi
ng, construction, real estate, healthcare, education, financial institution
s, and public broadcasting. Ms. Reardon received her Juris Doctor and Maste
r of Law in Taxation from University of San Diego, School of Law. During la
w school, Ms. Reardon was an extern with the IRS, Office of Chief Counsel w
here she reviewed offers in compromise, drafted pre-trial memos, and won a
motion for summary judgment in tax court. To round out her tax experience,
Ms. Reardon interned at the federal income tax clinic and state sales and u
se tax clinic where she helped low-income taxpayers with their disputes wit
h the IRS and California Department of Tax and Fee Administration, formerly
known as the Board of Equalization. During law school, Ms. Reardon was a m
ember of the University of San Diego Tax Law Society. Ms. Reardon received
her Bachelor of Business Administration in Accounting from Washburn Univers
ity and a Master of Business Administration from Rockhurst University. Ms.
Reardon received her CPA license on September 1, 1999.Originally from Kansa
s City, Ms. Reardon moved 17 years ago and now calls San Diego home. Ms. Re
ardon spends her downtime with her two boys, ages 11 and 13, and her King C
harles Cavalier. She also enjoys international travel and discovered her fa

Lauren Suarez is an
associate attorney in our office. Ms. Suarez assists our attorneys with mu
ltiple client matters before the Internal Revenue Service (IRS), Franchise
Tax Board (FTB), Employment Development Department (EDD), and the State Boa
rd of Equalization (SBOE).Prior to joining our firm, Ms. Suarez was a tax a
ssociate at BDO USA, LLP where she worked in the compliance area of tax ret
urn preparation for corporations, partnerships, and individuals. She also a
cquired a large amount of sales and use tax knowledge from previous industr
y experiences.Ms. Suarez was born and raised in San Diego, California. She
attended Loyola University of Chicago for her undergraduate work where she
majored in English with minors in Political Science and Business Administra
tion. After college she went on to receive her Juris Doctor with a concentr
ation in Business and Taxation from the University of the Pacific McG
eorge School of Law in Sacramento, CA. While at McGeorge, Ms. Suarez
was a member of the McGeorge Tax Law Society, participated in the Voluntee
r Income Tax Assistance Program, and was involved in the Franchise Tax Boar
d internships for sales and use and income tax.
